Agreement

These Terms and Conditions govern the services provided by Thrivr Productions ("Company", "we", "us") to any individual or business ("Client", "you") who engages our services. By booking, purchasing or using any service offered by Thrivr Productions, you agree to these terms in full.

1. Services

Thrivr Productions provides video production, ad creative, offer strategy, paid advertising management on Meta platforms, and lead follow-up automation. The scope of each engagement is defined in a separate proposal, invoice or written agreement provided to the Client.

2. Payment Terms

Fees, billing dates and payment methods are set out in your written agreement. Advertising spend is paid by the Client directly to Meta and is separate from our fees. Late payments may pause services. Thrivr Productions may withhold final deliverables until full payment is received.

3. Client Responsibilities

The Client is responsible for providing accurate information, access to ad accounts and business tools, availability for filming, timely feedback, and prompt follow-up with leads. Delays caused by the Client may adjust timelines without penalty to Thrivr Productions.

4. Intellectual Property

Upon full payment, the Client receives a non-exclusive license to use the delivered video content for their business. Thrivr Productions may use work produced for portfolio, marketing and promotional purposes unless the Client requests otherwise in writing before work begins.

5. Results

Results depend on market conditions, the Client's industry, offer, pricing, sales process and other factors outside our control. Except for the guarantee in section 7, we do not guarantee specific outcomes, including revenue, leads, bookings or advertising performance. Testimonials and case studies describe individual results and are not a promise of the same results.

6. Cancellations and Refunds

Cancellation terms are set out in your written agreement. If Thrivr Productions is unable to deliver the agreed services, any prepaid fees for undelivered work will be refunded.

7. Positive ROAS Guarantee

[PLACEHOLDER: finalize before running traffic.] If the Client's Meta ads managed by Thrivr Productions have not produced a positive return on ad spend within the measurement window, Thrivr Productions will continue managing the campaigns without a management fee until they do.

• Positive return on ad spend means revenue from jobs closed from leads generated by our ads exceeds the ad spend paid to Meta over the same period.
• Revenue is counted from closed jobs recorded in the Client's CRM and attributed to ad leads.
• Measurement window: [X] days from the date the ads go live.
• Minimum ad spend: [$X] per month.
• Conditions: the Client answers leads during business hours, keeps the CRM updated with closed jobs, makes themselves available for filming, and keeps the agreed offer and pricing in place.
• Exclusions: ad spend paid to Meta is never refunded or waived. The guarantee covers our management fee only.

8. Limitation of Liability

Thrivr Productions is not liable for any indirect, incidental or consequential damages arising from our services or deliverables. Our total liability to any Client will not exceed the fees paid by that Client for the services in question.

9. Governing Law

These Terms are governed by the laws of the State of Georgia, United States. Disputes will be resolved in the courts of Fulton County, Georgia.
